LEASE TRANSFERT


15. Assignment and Sub-Letting
15.01 The Tenant shall not assign this Lease in whole or in part nor sublet all or any part of the
Leased Premises, nor hypothecate or encumber this Lease or the Leased Premises or any
part thereof, nor suffer or permit the occupation of, or part with or share possession, of all
or any part of the Leased Premises by any person, (all of the foregoing being hereinafter
collectively referred to as a "Transfer") nor shall any successor of the Tenant occupy the
Leased Premises without the prior written consent of the Landlord in each instance.
If the Tenant or any such transferee is a corporation, any transfer, issuance for at least thirty
percent (30%) of the corporate shares of the Tenant shall be deemed a Transfer, subject to
the terms herein.

15.02 Any consent by the Landlord shall be subject to the Tenant causing any such transferee to
promptly execute an agreement directly with the Landlord agreeing to be bound by all of

the terms, obligations and conditions of this Lease as if such Transferee had originally
executed this Lease as Tenant.
15.03 Notwithstanding any such Transfer permitted or consented to by the Landlord, the Tenant
shall be solidarily liable with the Transferee on this Lease and shall not be released from
performing any of the terms, obligations and conditions of this Lease for the duration of
the Term or any renewal thereof, the whole without novation or delegation of any kind and
without benefit of subrogation provided for at Article 1531 of the Civil Code of Quebec
and without the benefit of division and discussion.
15.04 Any such transfer performed without the consent of the Landlord, shall entitle the latter to
terminate this Lease, unless Tenant reverses the Transfer within five (5) days of Landlord's
termination notice.


LEASE AGREEMENT

*4.03 The Term shall commence on February 1, 2018 (the "Commencement Date") and end on
February 28, 2022, for total period of four (4) years (the "Term"), subject to any
adjustments as provided in Paragraph 4.03 below.
